EMPLOYEESETTLEMENTANDRELEASEAGREEMENT

ThisEmployeeSettlementandReleaseAgreement(the“AGREEMENT”)isenteredintobyandbetween_______________(“EMPLOYEE”)ontheonehandand______________(“COMPANY”)ontheother.

C.ThepartiesrepresentthattheyhavebeenadvisedabouttheAGREEMENTbytheirrespectivecounsel,arecompetenttoenterintoit,fullyunderstanditstermsandconsequences,andenterintoitknowinglyandvoluntarily.

Basedontheserecitals,thepartiesagreeasfollows:

Terms

1.NoAdmission.ThisAGREEMENTisenteredinconnectionwiththecompromiseofdisputedclaims.NeitherthisAGREEMENTnoranyactionoractstakeninconnectionwiththisAGREEMENTorpursuanttoitwillconstituteanadmissionbyCOMPANYoranyotherpersonorentityofanyviolationoflaw,norwillitconstituteorbeconstruedasanadmissionofanywrongdoingwhatsoever.Infact,COMPANY,itsofficers,employees,agentsandrepresentativesspecificallydenycommittinganyunlawfulactagainstEMPLOYEEatanytime.

2.Payment.Withinthree(3)daysafterexecutionofthisAGREEMENT,andinconsiderationforthepromisesandcovenantscontainedherein,COMPANYwillcausetobedeliveredtocounselforEMPLOYEEacheckintheamountof$________.Exceptforthispayment,EMPLOYEEacknowledgesandagreesthatheisentitledtoreceivenootherpayments,benefits,orcompensationfromCOMPANY.EMPLOYEErepresentsthattherearenooutstandingadvancesorothersumsdueCOMPANYfromEMPLOYEE.

3.Tax.AppropriatetaxdeductionsshallbemadebytheCOMPANYfromthepaymentmadeunderSection2.
