1.General

OntheCompletionDatetheVendorshallinaccordancewithClause6,deliverormakeavailabletothePurchaserthefollowing(ifnotpreviouslyprovided):

1.1satisfactoryevidenceoftheduefulfillmentoftheconditionsspecifiedinClause4.1;

1.2acertificatesignedbytheVendorconfirmingthatalltheVendor’WarrantieshavebeencompliedwithandwillbecorrectinallrespectsasifrepeatedontheCompletionDatebyreferencetothecircumstancesthenexistingandthatalltherepresentations,warrantiesandundertakingsonthepartoftheVendorhavebeenfullyperformedandobservedbytheVendor;

1.3acertifiedcopyoftheboardresolutionoftheVendorauthorizingandapprovingtheexecutionandperformanceofthisAgreement,theapplicableTransactionAgreementsandrelateddocuments,andthedesignationofthesignatoriesherefore;and

1.4eachoftheTransactionAgreementsdulyexecutedbyoronbehalfoftheVendorandotherparties(otherthanthePurchaser).

2.DocumentsfromtheCompany

OnCompletion,theVendorandortheWarrantorshallinaccordancewithClause6,deliverormakeavailabletothePurchaserthefollowing(ifnotpreviouslyprovided):

2.1acertifiedcopyoftheboardresolutionoftheWarrantorauthorizingandapprovingtheexecutionandperformanceofthisAgreement,theapplicableTransactionAgreementsandrelateddocuments,andthedesignationofthesignatoriesherefore;

2.2acertificatesignedbytheWarrantorconfirmingthatalltheWarrantor’sWarrantieshavebeencompliedwithandwillbecorrectinallrespectsasifrepeatedontheCompletionDatebyreferencetothecircumstancesthenexistingandthatalltherepresentations,warrantiesandundertakingsonthepartoftheWarrantorhavebeenfullyperformedandobservedbytheWarrantor;

2.3sharecertificate(s)representingtheSaleSharesdulyregisteredtothePurchaserorasitmaydirect;and

2.4confirmationoftheentryofthenameofthePurchaser(orasitmaydirect)intheregisterofshareholdersoftheCompanyinrespectoftheSaleShares.
